Summary

The Contracts and Compliance Specialist (C&C Specialist) will be responsible for supporting the Contracts and Compliance legal team that is part of the Office of the General Counsel.  The C&C Specialist will assist the team in managing project and lifecycle workflow and reviewing and redlining transactional third-party supplier Procurement and Sourcing technology and non-technology agreements, Non-Disclosure Agreements (NDAs), client Outside Counsel Guidelines (OCGs), client questionnaires and Request For Proposals (RFPs).  The C&C Specialist will be a central point of contact, working directly with Contracts and Compliance attorneys and specialists, as well as firm Sourcing, Procurement,  Partners, and inter-department Subject Matter Experts (SMEs), including but not limited to: Conflicts/New Business, IT Security, Client Arrangements, Inclusion, Data Privacy, and Records.  The C&C Specialist will also as act as a project manager for various initiatives and needs of the team.  This position will work under the supervision of a Contracts & Compliance Attorney and directly with Firm partners, senior staff and with others in the Firm’s Office of General Counsel.  

Duties and Responsibilities

  • Timely and efficiently review and redline agreements to avoid any delays in the process and to meet requested deadlines
  • Creating, updating and managing templates and forms
  • Tracking team metrics
  • Creating and updating databases (e.g. TERMS; Sharepoint), spreadsheets and charts
  • Preparing agreements for execution including formatting and clean up, as well as preparing and packaging approved documents
  • Maintain clear lines of communication and follow-ups with Procurement, Sourcing, Conflicts/New Business, IT Security, Insurance, Privacy, Records, Human Resources, and others as needed
  • Prepare and update processes and procedures documentation
  • Look for opportunities to implement process improvements
  • Provide excellent customer service to our attorneys, clients, and other Firm personnel.
  • Perform various special ad hoc projects

Salaries vary by location and are based on numerous factors, including, but not limited to, the relevant market, skills, experience, and education of the selected candidate. If an estimated salary range for this role is available, it will be provided in our Target Salary Range section. Target Salary Range

$93,000 - $103,000 if located in Illinois

Qualifications

Education and/or Experience: 

Required:

  • BA/BS Degree
  • Minimum three years of contract/transactional work experience at a law firm or corporate legal department
  • Experience in reviewing and redlining transactional agreements and NDAs
  • Proficiency in: Microsoft Office applications

Preferred:

  • Proficiency in: Database Research tools, Contract Lifecycle Management tools; Document Management Systems
  • Experience drafting, redlining and negotiating transactional agreements with confidentiality, data privacy and information technology/security provisions
