  • Summary

    The Global Finance Paralegal will manage all aspects of large scale financial transactions; and assist with research and document management.   The position will require overtime and may involve some travel.

    Duties and Responsibilities

    • Support lawyers in the Global Finance Group on commercial loans, securitizations and other corporate finance transactions;
    • Draft and arrange for the recordation of U.C.C. financing statements and fixture filings and exhibits;
    • Research Article 9 & U.C.C. issues;
    • Obtain, review and analyze lien search reports and prepare lien summaries;
    • Obtain incorporation/formation documents and prepare initial drafts of ancillary closing documents;
    • Review, summarize and organize due diligence materials;
    • Conduct, monitor or coordinate a closing and all post-closing activities;
    • Review closing documents for completeness and compliance;
    • Supervise the preparation and distribution of closing books;
    • Other responsibilities as assigned by the lawyers or paralegal manager

    Education and/or Experience:

    Required:

    • BA/BS with strong academic credentials
    • Minimum 2 years experience at a medium or large law firm in banking or financial transactions
    • U.C.C. experience

     

    Preferred:

    • Paralegal Certificate from an ABA accredited program
