  • Summary

    Project Assistant  is a two-year entry-level position supporting lawyers and others within a specific practice group.

    Duties and Responsibilities

    A Capital Markets Project Assistant provides assistance to lawyers from the inception to close of the deal/transaction.

    • Drafting investment documents and incorporating comments or revisions into documents prepared by attorneys.
    • Monitoring document filings with the SEC.
    • Keeping records of all active deals.
    • Preparing daily calendar with updates on all deals currently pricing and/or launching that week and distribution to the structured notes team.
    • Proofreading of Prospectus Supplements and other documents to be filed with the SEC.
    • Preparing and organizing documents for Associate and Partner review.
    • Performs other miscellaneous projects and tasks, as requested by attorneys and Project Assistant Manager.
    • Performs other work-related duties, as may be assigned.

    A Corporate Project Assistant provides assistance to lawyers as follows:

    • Assist at closings
    • Organize data rooms
    • Participate in due diligence
    • Prepare drafts of ancillary documents for closings or other transactions; prepare and distribute closing docuoments and closing books
    • Prepare and file documents for corporate, limited liability company and partnership formations, amendments, conversions, reinstatements, mergers, qualifications, dissolutions and withdrawals
    • Prepare and file state, domestic and foreign annualreports for all types of entities.  coordinate timing of all filings with project deadline
    • Prepare organizational, annual and special consents, by-laws, stock issuance and company record books.  Prepare minute books and consents for limited liability companies, partnershis and limited partnerships
    • Research state statutes
    • Organize stock ledgers
    • Research online and via Lexis/Westlaw and other practice-specific databases
    • Order status reports, good standing certifictes and charter documents
    • Prepare and file annual/biennial reports in the various jurisdictions
    • Review various documents for definitions and cross-references
    • Prepare SS-4 forms and obtain tax numbers (correspond with the IRS re: same)
    • Prepare Form ID Applications and submit for filing with SEC



    A Litigation Project Assistant provides assistance to lawyers from the filing of a complaint to the resolution.

    • Managing all aspects of large scale complex litigations, arbitrations and investigations.
    • Maintaining, updating and organizing client files, witness files, trial transcripts, fact and research files, court papers and correspondence files in hard copy form as well as electronic form.    
    • Producing electronic and hard copy documents.
    • Assisting with responses to discovery and government requests, including redacting documents in hard copy form as well as on line.
    • Abstracting depositions and assembling documents for use at depositions.
    • When needed, preparing for and attending court trials and/or arbitrations and handling all duties associated with a trial such as: preparing witness binders, preparing and tracking exhibits, contacting clients and witnesses, scheduling court reporters, etc.
    • Cite-checking, blue-booking and proofreading briefs. 
    • Preparing privilege logs.
    • Filing documents electronically with the courts.
    • Performs other miscellaneous projects and tasks as requested by attorneys and Project Assistant Manager.
    • Performs other work-related duties, as may be assigned.

    A Tax Project Assistant provides assistance to lawyers as follows:

    • Assist with preparing and review of structured notes offering documents
    • Organizing and distributing transaction/offering documents to tax attorneys
    • Posting documents on tax opinion file
    • Producing Excel spreadsheets.
    • Coordinating the collection of tax representations
    • Preparing tax information forms
    • Proofreading documents
    • Coordinating with corporate attorneys and legal assistants
    • Prepare SS-4 forms and obtain tax numbers (correspond with the IRS re: same)
    • Assist with tax research projects
    • Assist other practice groups, if time permits

    Education and/or Experience: 


    • Bachelor’s degree from an accredited college or university.
